Drafting Terms of Service: The Essential Sections for a SaaS Product

The direct answer: usable terms cover at least ten things — what the service does, account rules, subscriptions and fees, cancellation and refunds, user content and licence, IP, liability limits, termination, governing law and disputes, and contact. Terms bind both sides: state what you provide and what you do not promise.

Service and accounts (1-3)

  • 1. Service description: what is provided and what is not — clear boundaries prevent most disputes.
  • 2. Account rules: accurate registration, account security responsibility, no sharing.
  • 3. Availability: the service may be interrupted and uninterrupted operation is not promised — honest availability terms protect both sides.

Subscriptions and content (4-6)

  • 4. Subscriptions and fees: price, cycle, how to cancel auto-renewal, and a note that taxes are handled by the MoR.
  • 5. User content: users keep their rights and grant the licence needed to run the service; handling of violating content.
  • 6. IP: the interface and code belong to the operator; feedback may be used to improve the service.

Liability and procedure (7-10)

  • 7. Liability limits: what is disclaimed and the cap — the most important risk allocation between the parties.
  • 8. Termination: both parties' rights, and a data-export window after termination.
  • 9. Governing law and dispute resolution: the jurisdiction and procedure.
  • 10. Contact and changes: how changes are notified, and that continued use counts as acceptance.

Boundary

This is a section checklist, not legal advice. The enforceability of liability limits and governing-law terms varies by jurisdiction — have a professional review the final text against the applicable law.
